Acceptance of Terms

Welcome to use the services provided by Xiamen Gejuziben Capital Management Co., Ltd. (hereinafter referred to as "Gejuziben Capital", "we" or "the Company"). By accessing our website or using our services, you agree to be bound by these terms of service. If you do not agree to these terms, please do not use our services.

Definitions

• Services: Refers to professional services provided by the Company including consulting empowerment, digital empowerment, AI intelligence and capital assistance
• Client: Refers to individuals or corporate entities using the Company's services
• Agreement: Refers to these terms of service and any other supplementary agreements or terms that may apply

Service Description

Service scope includes but is not limited to:

• Consulting empowerment: corporate strategic planning, management consulting, organizational optimization, ESG compliance consulting
• Digital empowerment: digital transformation solutions, enterprise informatization construction, data asset management
• AI intelligence: artificial intelligence technology applications, intelligent decision support, predictive analysis and insights
• Capital assistance: investment evaluation, mergers and acquisitions, capital operations, IPO guidance

Service Delivery

We will provide professional services according to the specific service agreement signed with the client. The specific content, time, cost and delivery standards of the service will be detailed in separate service contracts.

Client Obligations

Cooperation obligations:

• Provide relevant information and materials required for services in a timely and accurate manner
• Provide necessary working environment and data access permissions for our service team
• Designate personnel responsible for communication and coordination to ensure timeliness and accuracy of information transmission
• Provide timely feedback and confirmation on our work results

Clients shall not:

• Use our services for any illegal or improper activities
• Interfere with or damage our systems, networks or services
• Use, copy or disseminate our proprietary information and intellectual property without authorization
• Use our services for direct competitive purposes or harm our business interests

Fees and Payment

Fee Structure

Service fees will be determined based on factors such as project complexity, required resources, project cycle, etc. Specific fee standards and payment methods will be clearly stipulated in the service contract.

Payment terms:

• Pay service fees according to the time and method agreed in the contract
• Late payment will incur penalty fees at a rate of 0.05% per day
• Clients are responsible for bearing relevant taxes and fees arising from services

Confidentiality Obligations

Both parties undertake confidentiality obligations regarding trade secrets, technical information, customer information and other confidential information obtained during cooperation.

Confidentiality obligations include:

• Not disclosing confidential information to third parties
• Taking reasonable measures to protect the security of confidential information
• Using confidential information only for the purpose of fulfilling this agreement
• Promptly returning or destroying confidential information after cooperation ends

Intellectual Property

The ownership of intellectual property rights during cooperation between the parties is determined according to the following principles:

Rights ownership:

• Intellectual property rights owned by each party before cooperation remain with the original right holders
• For results jointly developed during cooperation, intellectual property ownership shall be agreed upon in specific agreements
• For customized solutions developed based on specific client needs, related rights belong to the client

Representations and Warranties

Company representations:

• Having professional qualifications and capabilities to provide related services
• Will provide services according to industry standards and best practices
• Comply with applicable laws and regulations during service provision

Limitation of Liability

Except as expressly provided by law, our services are provided "as is" and we make no warranties beyond those agreed in the contract regarding service results.

Limitation of Liability

To the maximum extent permitted by law, we assume limited liability for any losses arising from the use of our services.

Liability limitations include:

• No liability for indirect, special or incidental losses
• No liability for consequential losses arising from service interruption, data loss, etc.
• Liability for direct losses shall not exceed the total amount of related service fees

Agreement Termination

The agreement may be terminated under the following circumstances:

• Service completion and fulfillment
• One party seriously violates the agreement terms and fails to rectify within a reasonable period
• Mutual agreement by both parties to terminate

Termination Effects

After termination of the agreement, both parties shall fulfill obligations already incurred, confidentiality clauses remain effective, and fees for incomplete services shall be settled according to actual completion.

Governing Law

These terms of service are governed by the laws of the People's Republic of China. For matters not covered in the terms, the relevant laws and regulations of the People's Republic of China shall apply.

Dispute Resolution

Any disputes arising from these terms of service shall first be resolved through friendly consultation between the parties. If consultation fails, either party may file a lawsuit with a court of competent jurisdiction.

Terms Modification

We reserve the right to modify these terms of service at any time. Important modifications will be notified to you through website announcements or other appropriate means. Continued use of our services indicates your acceptance of the modified terms.
